Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TradeMarketingLab website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

TradeMarketingLab provides digital marketing services to trade businesses, including but not limited to website design and development, search engine optimization (SEO), pay-per-click advertising, reputation management, content creation, and analytics reporting.

The specific scope of services will be outlined in an individual service agreement or statement of work between TradeMarketingLab and the client.

2. Account Registration

Certain features of our services may require you to create an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3. Payment Terms

  • Fees for services are as specified in your service agreement or on our pricing page.
  • Payments are due on the first of each month unless otherwise agreed in writing.
  • Late payments may incur a fee of 1.5% per month on the outstanding balance.
  • All fees are non-refundable except as provided under our 60-Day Results Guarantee.

4. 60-Day Results Guarantee

We offer a 60-Day Results Guarantee for qualifying clients. If you do not see measurable improvement in lead generation within 60 days of campaign launch, we will continue working at no additional cost until results are achieved. This guarantee is subject to:

  • Full cooperation and timely feedback from the client
  • Implementation of recommended changes to websites and business listings
  • A minimum 60-day engagement period
  • "Measurable improvement" is defined as an increase in qualified leads compared to the baseline established during onboarding

5. Client Responsibilities

As a client, you agree to:

  • Provide timely access to accounts, assets, and information needed to perform services
  • Ensure all information and materials you provide are accurate and lawful
  • Respond to requests for approvals and feedback within a reasonable timeframe
  • Maintain active and valid business licenses

6. Intellectual Property

  • Our IP: All proprietary tools, strategies, templates, and methodologies remain the property of TradeMarketingLab.
  • Client IP: You retain ownership of your brand assets, logos, and business content.
  • Work product: Custom websites, ad copy, and marketing materials created specifically for your account will be owned by you upon full payment of all fees.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes business strategies, financial data, customer lists, and marketing performance data. This obligation survives termination of the agreement.

8. Limitation of Liability

To the maximum extent permitted by law, TradeMarketingLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action.

Our total liability for any claim arising from our services shall not exceed the fees paid by you in the three (3) months preceding the claim.

9. Termination

  • Either party may terminate the service agreement with 30 days' written notice.
  • We may suspend or terminate services immediately if you breach these Terms or fail to make payment.
  • Upon termination, we will provide access to all client-owned assets and data within 14 business days.

10. Indemnification

You agree to indemnify and hold harmless TradeMarketingLab, its officers, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms, your use of our services, or any content or materials you provide.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Austin, Texas, under the rules of the American Arbitration Association.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
